Terms of Service

The agreement that governs your use of Paddle BaaS APIs, dashboard and related services.

Last updated: October 5, 2026 · Issued by Pickpadi Global Ltd

1. About these terms

Paddle BaaS ("Paddle", "we", "us") is a product of Pickpadi Global Ltd. These Terms of Service form a binding agreement between Pickpadi Global Ltd and the business or individual ("you") that creates an account, accesses our APIs or uses our dashboard. By using the services you confirm you have authority to accept these terms on behalf of your organisation.

2. Our services

Paddle provides software and APIs that connect your business to licensed banking, payment, card and verification partners. Regulated activities such as account issuance, deposit holding and card issuing are performed by our partner institutions. Paddle is not itself a bank.

  • Virtual accounts and collections
  • Payouts and transfers
  • Multi-currency accounts and FX
  • Card issuing
  • Bills, VAS, escrow and ledgers
  • Identity, KYB and compliance tooling

3. Eligibility and onboarding

You must be a legally registered business (or an authorised developer in sandbox), provide accurate and complete information, and pass our KYB and AML checks before production access is granted. We may request additional documents at any time and may decline onboarding at our discretion.

4. Sandbox and production

Sandbox environments are provided for testing only and carry no real funds. Production access is granted after approval. You must not use test credentials, test data or simulated flows to mislead end users.

5. Your responsibilities

  • Keep API keys, webhooks secrets and dashboard credentials confidential.
  • Ensure your end users accept terms and privacy notices consistent with ours.
  • Perform any customer due diligence required of you by law.
  • Promptly notify us of suspected fraud, breach or unauthorised access.
  • Comply with our Acceptable Use, AML & CFT and KYC & KYB policies.

6. Fees and settlement

Fees are set out in your commercial agreement or on our pricing page. Fees may be deducted from balances or invoiced. We may change fees with at least 30 days' notice. Settlement timelines depend on the underlying rail and partner institution.

7. Funds, reversals and chargebacks

You are responsible for reversals, disputes, chargebacks and negative balances arising from your account. We may hold, delay or reverse funds where required by a partner, regulator or court, or where we reasonably suspect fraud or a breach of these terms.

8. Intellectual property

All software, APIs, documentation, trademarks and content are owned by Pickpadi Global Ltd or its licensors. We grant you a limited, non-exclusive, non-transferable licence to use them solely to integrate with and use the services.

9. Confidentiality and data

Each party will protect the other's confidential information. Personal data is processed in line with our Privacy Policy and NDPR Notice.

10. Availability

We aim for high availability but services depend on third-party rails and partners. Scheduled maintenance and partner outages may affect availability. Current status is published on our System Status page.

11. Warranties and liability

Services are provided "as is" to the extent permitted by law. Our aggregate liability under these terms is limited to the fees you paid to us in the twelve months before the claim. Neither party is liable for indirect or consequential loss.

12. Suspension and termination

Either party may terminate with 30 days' written notice. We may suspend or terminate immediately where required by law or a partner, or where your use presents material risk. On termination, balances are settled after any lawful holds are released.

13. Governing law

These terms are governed by the laws of the Federal Republic of Nigeria. Disputes will first be escalated through our complaints process, then resolved by the courts of Lagos State unless otherwise agreed in writing.

14. Changes

We may update these terms. Material changes will be notified at least 30 days in advance through the dashboard or by email. Continued use after the effective date means you accept the updated terms.
